The Central Bank of Nigeria (CBN) has thrown the country's financial sector into an aggressive regulatory shake-up after releasing a sweeping new exposure draft aimed at strictly overhauling the operations of Financial Holding Companies (HoldCos) and closely linked corporate entities.
The policy directive is trending heavily across banking halls and investment desks because the apex bank, under Governor Olayemi Cardoso, is moving to officially "ring-fence" banking operations to protect depositors' funds from non-banking institutional risks.
The newly proposed guidelines replace an outdated 2014 framework and introduce a strict rule requiring HoldCos to maintain a minimum 51% equity stake in each of their subsidiaries.

Furthermore, to eliminate corporate overreach, the CBN is forcing HoldCos to maintain a regulatory capital buffer that sits at least 20% above the combined minimum capital requirements of all their subsidiaries.
The framework has triggered deep structural compliance adjustments across elite banking groups like Access Holdings, FBN Holdings, and GTCO.
Beyond capital requirements, the trending guidelines heavily restrict internal operations—prohibiting financial holding companies from sharing tech infrastructure to process outside-scope transactions, banning the sharing of customer data without explicit consent under the Nigeria Data Protection Act, and decreeing that overlapping board directors cannot exceed 20% of total membership.
Stakeholders and financial executives have been given a strict deadline of July 9, 2026, to submit their reviews and feedback to the apex bank.
